This Business Partner Master Agreement ("Agreement") is entered into between:

The laundry service provider, dry-cleaning service provider, garment care provider, footwear care provider, shoe cleaning service provider, carpet cleaning service provider, fabric care provider, cleaning service provider, franchise operator, chain operator, business entity, sole proprietorship, partnership, LLP, company, or other business organization that registers, lists services, receives orders, or conducts business through the Frebulous Platform ("Business Partner", "Merchant", "Laundry Partner", "Service Provider", "You", or "Your").
Frebulous and the Business Partner may individually be referred to as a "Party" and collectively as the "Parties".
1. PURPOSE OF THIS AGREEMENT
1.1 Marketplace Model
Frebulous operates a technology-enabled marketplace and service aggregation platform that connects customers with independent laundry and garment care businesses.
1.2 Business Structure
Frebulous is not a laundry service provider for orders performed by Business Partners unless explicitly stated otherwise.
1.3 Role of Frebulous
Frebulous primarily acts as:
- (a) technology platform provider;
- (b) marketplace operator;
- (c) order management platform;
- (d) logistics facilitator;
- (e) customer acquisition platform;
- (f) digital commerce facilitator;
- (g) marketing and advertising platform.
1.4 Role of Business Partner
The Business Partner independently provides cleaning, laundry, garment care, footwear care, fabric care, restoration, and related services to customers.
1.5 Independent Businesses
The Business Partner acknowledges that it operates as an independent business entity and not as an employee, franchisee, subsidiary, representative, or agent of Frebulous.
2. APPOINTMENT
2.1 Platform Appointment
Subject to compliance with this Agreement, Frebulous grants the Business Partner a limited, non-exclusive, revocable right to list services on the Platform.
2.2 Non-Exclusive Relationship
The relationship is non-exclusive.
2.3 Competing Platforms
The Business Partner may participate on competing platforms.
2.4 No Territorial Exclusivity
No city, district, state, region, market, customer segment, or category shall be reserved exclusively for any Business Partner unless separately agreed in writing.
2.5 No Guaranteed Business
Frebulous does not guarantee:
- (a) orders;
- (b) customers;
- (c) revenue;
- (d) profits;
- (e) rankings;
- (f) visibility;
- (g) customer retention.
3. PLATFORM STRUCTURE
3.1 Marketplace Nature
The Platform enables customers to discover, compare, select, purchase, and review services offered by independent Business Partners.
3.2 Customer Choice
Customers determine:
- (a) service provider selection;
- (b) service category selection;
- (c) order preferences;
- (d) purchase decisions.
3.3 Merchant Responsibility
Business Partners remain solely responsible for services they perform.
3.4 Platform Independence
Frebulous does not assume operational control over daily cleaning activities performed by Business Partners.
4. ELIGIBILITY
4.1 Eligible Businesses
The following categories may apply for onboarding:
- (a) laundry businesses;
- (b) dry cleaners;
- (c) shoe cleaning businesses;
- (d) footwear care providers;
- (e) carpet cleaning businesses;
- (f) curtain cleaning businesses;
- (g) garment restoration businesses;
- (h) fabric care providers;
- (i) multi-branch operators;
- (j) franchise networks;
- (k) corporate laundry chains;
- (l) home-based service providers approved by Frebulous.
4.2 India Only
The Platform currently supports business operations within India.
4.3 International Restriction
International service providers are not currently eligible unless specifically approved by Frebulous.
5. BUSINESS PARTNER REPRESENTATIONS
The Business Partner represents and warrants that:
5.1 Legal Existence
The Business Partner legally exists and is authorized to conduct business.
5.2 Authority
The individual accepting this Agreement possesses authority to bind the Business Partner.
5.3 Compliance
The Business Partner complies with applicable laws.
5.4 Information Accuracy
All information submitted to Frebulous is accurate, complete, and current.
5.5 Service Capability
The Business Partner possesses adequate resources to perform listed services.
6. BUSINESS DOCUMENTATION
6.1 Required Documentation
Frebulous may require:
- (a) PAN;
- (b) bank account details;
- (c) business address information;
- (d) GST registration where applicable;
- (e) ownership information;
- (f) identity verification documents;
- (g) licenses;
- (h) certifications;
- (i) compliance declarations.
6.2 Additional Documentation
Frebulous may request additional documentation at any time.
6.3 Ongoing Compliance
Documentation must remain accurate and updated.
6.4 Verification Rights
Frebulous may verify information through internal or third-party verification processes.
7. ONBOARDING APPROVAL
7.1 Review Rights
Frebulous may review all onboarding applications.
7.2 Approval Discretion
Frebulous may approve or reject applications.
7.3 Rejection Reasons
Where reasonably appropriate, Frebulous may communicate reasons for rejection.
7.4 No Obligation to Onboard
Submission of an application does not create any right to onboarding.
7.5 Conditional Approval
Frebulous may approve applications subject to conditions.
8. SERVICE AREA FRAMEWORK
8.1 Geographic Service Radius
Business Partners may generally provide services within an operational radius approved by Frebulous.
8.2 Maximum Radius
Unless otherwise approved, service areas may be limited to a maximum radius of forty5 (45) kilometers from an approved business location.
8.3 City Controls
Frebulous may impose city-specific operational requirements.
8.4 Service Restrictions
Frebulous may restrict services in certain areas for operational, legal, quality, or safety reasons.
9. INDEPENDENT BUSINESS RELATIONSHIP
9.1 No Employment Relationship
Nothing in this Agreement creates an employment relationship.

Business Partners are not agents of Frebulous.
9.3 No Partnership
Nothing herein creates a partnership, joint venture, or fiduciary relationship.
9.4 No Authority
Business Partners may not bind Frebulous contractually.

10. MARKETPLACE PRINCIPLES
10.1 Open Marketplace
Frebulous operates an open marketplace intended to provide fair access to customers.
10.2 Organic Discovery
The Platform may use organic ranking systems to help customers discover services.
10.3 Sponsored Visibility
Certain advertising and promotional opportunities may be available to Business Partners.
10.4 Marketplace Integrity
Frebulous shall seek to maintain marketplace integrity through operational standards, quality controls, and fraud prevention mechanisms.
11. FREBULOUS RIGHTS
Frebulous reserves the right to:
- (a) operate the Platform;
- (b) establish policies;
- (c) verify businesses;
- (d) investigate complaints;
- (e) manage rankings;
- (f) administer advertising products;
- (g) manage customer experience;
- (h) protect Platform integrity;
- (i) comply with laws.
12. BUSINESS PARTNER OBLIGATIONS
The Business Partner shall:
- (a) provide quality services;
- (b) comply with laws;
- (c) maintain accurate listings;
- (d) protect customer information;
- (e) cooperate with investigations;
- (f) maintain professional standards;
- (g) comply with Platform policies.
13. NO GUARANTEE OF RANKING
13.1 Visibility
Frebulous does not guarantee rankings, impressions, clicks, conversions, visibility, customer engagement, or revenue.
13.2 Ranking Variables
Visibility may be influenced by:
- (a) customer behavior;
- (b) reviews;
- (c) ratings;
- (d) service quality;
- (e) operational performance;
- (f) advertising participation;
- (g) platform algorithms.
14. PLATFORM EVOLUTION
14.1 Continuous Development
Frebulous may modify Platform features.
14.2 Future Services
Frebulous may introduce:
- (a) new service categories;
- (b) new advertising products;
- (c) subscription programs;
- (d) premium services;
- (e) franchise systems;
- (f) company-operated service centers.
14.3 Future Expansion
Nothing in this Agreement limits Frebulous from launching competing, affiliated, franchised, licensed, company-owned, or third-party-operated service offerings.
15. ENTIRE RELATIONSHIP
This Agreement serves as the foundation governing the relationship between Frebulous and Business Partners and shall be supplemented by:
- (a) Marketplace Policies;
- (b) Privacy Policies;
- (c) Security Policies;
- (d) Advertising Policies;
- (e) Merchant Standards;
- (f) Service-Level Requirements;
- (g) Future Platform Rules.
16. DEFINITIONS
For purposes of this Agreement, the following terms shall have the meanings assigned below unless the context requires otherwise.
16.1 Account
"Account" means the merchant account, business account, partner account, dashboard account, or other digital access credentials issued by Frebulous.
16.2 Advertisement
"Advertisement" means any sponsored listing, promoted placement, banner campaign, featured listing, CPC campaign, CPM campaign, CPA campaign, keyword promotion, marketplace promotion, or paid visibility product.
16.3 Business Partner
"Business Partner" means any approved merchant, laundry service provider, dry cleaner, shoe care provider, garment care provider, fabric care provider, franchise operator, chain operator, or service provider participating on the Platform.
16.4 Branch
"Branch" means a physical operational location approved by Frebulous from which services are performed.
16.5 Customer
"Customer" means any individual, business, organization, household, institution, or platform user purchasing or attempting to purchase services through the Platform.
16.6 Frebulous Magic Care Badge
"Frebulous Magic Care Badge" means a quality designation, recognition, certification, ranking status, trust indicator, or marketplace distinction granted by Frebulous according to internal criteria.
16.7 Listing
"Listing" means any service, profile, category, pricing entry, business page, offer, advertisement, description, image, promotional content, or information displayed on the Platform.
16.8 Marketplace
"Marketplace" means the Frebulous digital ecosystem connecting customers with Business Partners.
16.9 Order
"Order" means a customer request, booking, service purchase, transaction, cleaning request, footwear care request, garment care request, pickup request, or service instruction processed through the Platform.
16.10 Sponsored Placement
"Sponsored Placement" means paid visibility purchased through Frebulous advertising products.
17. INTERPRETATION
17.1 Singular and Plural
References to singular include plural and vice versa.

References to one gender include all genders.
17.3 Headings
Headings are provided for convenience only.
17.4 Legal References
References to laws include amendments, updates, replacements, notifications, regulations, and future enactments.
17.5 Inclusive Language
The words "include", "includes", and "including" shall mean including without limitation.

Frebulous may approve businesses operating in one or more of the following categories:

- (b) dry cleaning;
- (c) garment care;
- (d) fabric care;
- (e) footwear care;
- (f) shoe cleaning;
- (g) carpet cleaning;
- (h) curtain cleaning;
- (i) bag cleaning;
- (j) leather care;
- (k) restoration services;
- (l) premium garment services;
- (m) wedding garment care;
- (n) express service providers.

Frebulous may introduce new service categories at any time.
18.3 Category Restrictions
Frebulous may restrict certain categories in specific locations.
19. MERCHANT CLASSIFICATIONS
19.1 Independent Operators
Single-location businesses may operate as independent merchants.
19.2 Multi-Branch Operators
Businesses with multiple physical locations may operate under approved structures.
19.3 Franchise Operators
Franchise operators may participate subject to approval.
19.4 Corporate Operators
Large chains and corporate operators may participate.
19.5 Home-Based Operators
Home-based providers may participate where approved by Frebulous.
20. BRANCH STRUCTURE

21. MULTI-BRANCH MANAGEMENT

A Business Partner may operate multiple branches.

Where legally permissible, multiple branches may operate under a single GST registration.
21.3 Centralized Management
Frebulous may permit centralized management of multiple locations.
21.4 Branch Independence
Frebulous may require separate operational information for each branch.
22. BRANCH ACCURACY REQUIREMENTS

22.2 Misrepresentation

No Business Partner is entitled to receive or retain the badge.

39. MARKETPLACE CONTROL RIGHTS

40. MERCHANT ELIGIBILITY

Only businesses approved by Frebulous may participate on the Platform.

The Business Partner shall possess the legal capacity to operate its business and enter into this Agreement.
40.3 Operational Capability
The Business Partner must possess adequate operational resources to provide services listed on the Platform.
40.4 Continuous Eligibility
Eligibility must be maintained throughout participation on the Platform.
41. BUSINESS TYPES ELIGIBLE FOR ONBOARDING

Submission of an application does not guarantee approval.

Business Partners shall provide valid bank account information.

Frebulous may verify ownership of settlement accounts.

306. LIMITED BRAND LICENSE

Subject to this Agreement, Frebulous may permit Business Partners to identify themselves as a participating Business Partner of the Platform.

- (b) non-transferable;

307. FREBULOUS TRADEMARKS

Frebulous trademarks remain the exclusive property of Frebulous.

- (c) Frebulous Magic Care Badge;
- (d) future trademarks;
- (e) future service marks.

Business Partners shall respect all trademark rights.
308. BRAND USAGE REQUIREMENTS

Approved branding shall be used professionally.
308.2 Compliance
Business Partners shall comply with branding standards issued by Frebulous.
308.3 Marketplace Integrity
Brand usage shall not mislead customers.
309. BRAND REVOCATION RIGHTS
309.1 Immediate Revocation
Frebulous may revoke branding permissions at any time.
309.2 Removal Requirement
Business Partners shall promptly remove affected materials.
309.3 Continued Use
Unauthorized continued use constitutes infringement.
310. PROHIBITED INTELLECTUAL PROPERTY ACTIVITIES
Business Partners shall not:

- (b) reverse engineer systems;
- (c) reproduce proprietary materials;
- (d) exploit confidential technology;
- (e) bypass security mechanisms.
311. DOMAIN NAME RESTRICTIONS

Business Partners shall not register domains likely to create confusion with Frebulous.

Frebulous may seek transfer, cancellation, or legal remedies.
311.3 No Authorization
Participation does not authorize domain registrations using Frebulous branding.
312. SOCIAL MEDIA RESTRICTIONS

Business Partners shall not create misleading social media accounts suggesting ownership of Frebulous.
312.2 Customer Protection
Marketplace confusion shall be avoided.
312.3 Enforcement
Frebulous may require immediate corrective action.
313. FEEDBACK LICENSE
313.1 Merchant Suggestions
Business Partners may provide feedback regarding Platform operations.

Feedback may be used by Frebulous without restriction.
313.3 No Compensation
No compensation shall be owed for feedback usage.
314. PLATFORM IMPROVEMENTS
314.1 Development Rights
Frebulous may improve, modify, replace, or redesign Platform features.

Frebulous retains full rights regarding Platform evolution.
314.3 No Approval Required
Merchant approval is not required for Platform improvements.
315. DISCLAIMER OF WARRANTIES

The Platform is provided on an "as available" and "as is" basis.

Frebulous does not guarantee:
- (a) uninterrupted availability;
- (b) error-free performance;
- (c) continuous operation;
- (d) specific outcomes;

315.3 Technical Interruptions
Temporary interruptions may occur.
316. MARKETPLACE DISCLAIMER
316.1 Platform Nature
Frebulous operates a technology-enabled marketplace.
316.2 Independent Businesses
Business Partners remain independently responsible for their services.
316.3 Customer Decisions
Customer purchasing decisions remain outside Frebulous' control.
317. LIMITATION OF LIABILITY
317.1 Maximum Extent Permitted
To the maximum extent permitted by law, Frebulous shall not be liable for indirect, incidental, punitive, special, exemplary, or consequential damages.
317.2 Excluded Damages
Excluded damages include:
- (a) lost profits;
- (b) lost revenue;
- (c) lost business opportunities;
- (d) reputational harm;
- (e) goodwill losses;
- (f) indirect economic losses.
318. LIABILITY CAP
318.1 Aggregate Liability
To the maximum extent permitted by law, Frebulous' total aggregate liability arising out of or relating to this Agreement shall not exceed the total commissions actually earned by Frebulous from the affected Business Partner during the three (3) months immediately preceding the event giving rise to the claim.
318.2 Single Recovery
Business Partners shall not recover multiple times for the same loss.
318.3 Legal Limitations
Nothing in this Agreement limits liability where limitation is prohibited by law.
319. MERCHANT LIABILITY
319.1 Independent Responsibility
Business Partners remain responsible for their own acts and omissions.

Responsibility may include:

- (c) legal compliance;
- (d) employee conduct;
- (e) contractor conduct.
320. MERCHANT INDEMNITY
320.1 Indemnification Obligation
The Business Partner shall defend, indemnify, and hold harmless Frebulous and its:
- (a) directors;
- (b) officers;
- (c) employees;
- (d) affiliates;
- (e) shareholders;
- (f) contractors;
- (g) agents;
- (h) business partners.
320.2 Covered Claims
Indemnity applies to claims arising from:
- (a) merchant misconduct;
- (b) fraud;
- (c) negligence;
- (d) service failures;
- (e) legal violations;
- (f) intellectual property violations;
- (g) privacy violations;
- (h) contractual breaches.
321. THIRD-PARTY CLAIMS

Business Partners shall reasonably cooperate regarding third-party claims.

322. LEGAL COMPLIANCE

334. SEVERABILITY

340. RESERVATION OF RIGHTS
Frebulous reserves all rights, remedies, protections, defenses, operational authorities, marketplace controls, intellectual property rights, enforcement powers, and legal protections not expressly granted under this Agreement.
341. ELECTRONIC ACCEPTANCE
341.1 Electronic Agreement
This Agreement may be accepted electronically through the Frebulous Platform.
341.2 Binding Acceptance
A Business Partner shall be deemed to have accepted this Agreement upon:
- (a) account creation;
- (b) onboarding completion;
- (c) clicking an acceptance button;
- (d) digital confirmation;
- (e) continuing participation on the Platform;
- (f) accepting orders through the Platform.
341.3 Legal Validity
Electronic acceptance shall have the same force and effect as a physical signature to the maximum extent permitted by applicable law.
342. ELECTRONIC RECORDS
342.1 Digital Storage
Frebulous may maintain electronic records relating to this Agreement.
342.2 Evidentiary Value
Electronic records may serve as evidence in any dispute, investigation, audit, arbitration, legal proceeding, or regulatory matter.
342.3 Authenticity
Platform-generated records shall be presumed accurate unless proven otherwise.
343. MERCHANT REPRESENTATIONS
The Business Partner represents and warrants that:
- (a) all information provided is accurate;
- (b) onboarding documents are genuine;
- (c) the Business Partner possesses authority to enter into this Agreement;
- (d) participation does not violate any legal obligation;
- (e) participation does not violate any third-party rights;
- (f) the Business Partner shall comply with applicable laws.
344. MERCHANT DECLARATIONS
The Business Partner acknowledges and declares that:
- (a) it has read this Agreement;
- (b) it understands this Agreement;
- (c) it voluntarily accepts this Agreement;
- (d) it had adequate opportunity to seek independent legal advice;
- (e) it agrees to be bound by all Platform policies.
345. REGULATORY COMPLIANCE DECLARATION
345.1 Ongoing Compliance
Business Partners shall maintain compliance with applicable laws and regulations.
345.2 Notification Requirement
Material compliance failures shall be disclosed promptly.
345.3 Investigation Cooperation
Business Partners shall cooperate with lawful investigations.
346. PLATFORM POLICY ACCEPTANCE

Business Partners agree to comply with all Platform policies.

370. FINAL RESERVATION OF RIGHTS
Frebulous Private Limited reserves all rights, powers, protections, privileges, remedies, defenses, commercial rights, marketplace rights, operational rights, intellectual property rights, enforcement rights, compliance rights, audit rights, advertising rights, visibility rights, technology rights, security rights, legal rights, and equitable remedies available under this Agreement, Platform policies, applicable laws, and principles of equity.

By creating an account, submitting onboarding information, accessing merchant tools, accepting orders, advertising on the Platform, or continuing to use Frebulous services, the Business Partner acknowledges and agrees to be legally bound by this Business Partner Master Agreement and all incorporated policies, schedules, guidelines, standards, and future amendments issued by Frebulous.
